1. Acceptance of Terms

1.1 — By accessing, browsing, or using the XIMPEX website (https://ximpex.in) or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”).

1.2 — If you are using our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1.3 — If you do not agree to these Terms, you must not use our website or services.

2. Description of Services

2.1 — XIMPEX is an export consultancy platform that provides the following services to Indian businesses seeking to export goods internationally:

2.1.1 — Market research and market selection using data-driven methodologies.
2.1.2 — Digital marketing, website development, and social media management for export branding.
2.1.3 — Lead generation and sales execution support with BANT-qualified buyer leads.
2.1.4 — Export documentation consultation and regulatory guidance.
2.1.5 — Logistics coordination and freight consultation.
2.1.6 — Trade finance advisory and payment security guidance.
2.1.7 — AI-powered tools including HS Code Finder, Market Finder, Duty Calculator, and Export Readiness Assessment.

2.2 — XIMPEX provides consultancy and facilitation services. We do not directly export goods, act as a customs broker, freight forwarder, or financial institution unless explicitly contracted under the eXecute plan.

2.3 — The actual export of goods, customs clearance, and regulatory compliance remain the responsibility of the client unless a specific scope of work states otherwise.

3. Eligibility

3.1 — Our services are available to individuals who are at least 18 years of age and businesses registered in India.

3.2 — By using our services, you represent that you meet these eligibility requirements.

3.3 — We reserve the right to refuse service to any individual or entity at our sole discretion.

4. Account Registration

4.1 — Certain features and services require you to create an account or provide personal information.

4.2 — You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3 — You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.4 — You must notify us immediately at info@ximpex.in if you suspect any unauthorised access to your account.

5. Subscription Plans

Our services are offered through the following plans:

5.1 — eXhibit (₹25,000 one-time): Includes professional export website development, social media setup with 12 posts, market selection using EARTH methodology, marketing collateral design, and company profile & catalogue creation.

5.2 — eXplore (₹35,000/month, 3-month minimum): Includes everything in eXhibit plus BANT-qualified lead generation, sales execution support, social media management, campaign management, and buyer verification.

5.3 — eXpress (₹50,000/month): Includes everything in eXplore plus documentation consultation, insurance consultation, freight consultation, regulatory guidance, and priority support.

5.4 — eXchange (₹10,00,000/year): Includes market prioritisation, full documentation, regulatory updates, cargo insurance, freight & transport, export financing, post-shipment support, and trade show access.

5.5 — eXecute (₹25,00,000/year): Includes everything in eXchange plus brand development, target market identification, sales channel development, compliance verification, risk management, inventory management, and a dedicated export manager.

5.6 — Market Finder Reports: Available as one-time purchases at ₹499 (Basic), ₹999 (Advanced), and ₹1,999 (Premium) per report.

5.7 — Plan features and pricing are subject to change. Existing subscribers will be notified 30 days before any changes to their active plan.

6. Service Delivery Timelines

6.1 — eXhibit: Initial deliverables (website, collateral, market report) within 15–20 working days from onboarding completion.

6.2 — eXplore: Ongoing monthly service with 30-day billing cycles. Lead reports and activity updates delivered weekly.

6.3 — eXpress, eXchange, eXecute: Ongoing service with quarterly performance reviews. Deliverables as per the project plan agreed during onboarding.

6.4 — Market Finder Reports: Delivered within 3–5 working days via email and/or client dashboard.

6.5 — Timelines are indicative and subject to timely provision of required information and documents by the client. Delays caused by the client will extend delivery timelines proportionally.

7. Payment Terms

7.1 — All payments must be made in advance through our website using the available payment methods (credit/debit cards, UPI, net banking, digital wallets) processed by Razorpay.

7.2 — Monthly subscription plans (eXplore, eXpress) are billed at the beginning of each 30-day cycle and auto-renew unless cancelled in accordance with our Refund & Cancellation Policy.

7.3 — Annual plans (eXchange, eXecute) are billed as a single annual payment and auto-renew unless cancelled with 30 days' written notice before the renewal date.

7.4 — All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST at 18%) unless stated otherwise.

7.5 — Failed payments will result in service suspension. We will attempt to notify you and retry payment before suspending access.

7.6 — For refund terms, please refer to our Refund & Cancellation Policy.

8. Intellectual Property

8.1 — All content, tools, software, designs, methodologies (including EARTH and BANT frameworks), reports, and materials created by XIMPEX remain the intellectual property of XIMPEX.

8.2 — Subscription to our services grants you a limited, non-exclusive, non-transferable licence to use deliverables created specifically for your business (e.g., your export website, marketing collateral, market reports).

8.3 — You may not reproduce, distribute, sublicense, or create derivative works from XIMPEX's proprietary tools, templates, or methodologies without prior written consent.

8.4 — All data, documents, and materials you provide to us remain your property. We will not use your proprietary business information for purposes other than delivering the contracted services.

9. Limitation of Liability

9.1 — XIMPEX provides consultancy and advisory services. We do not guarantee any specific export outcomes, buyer responses, order volumes, revenue targets, or government approvals.

9.2 — Our liability for any claim arising from our services is limited to the total amount paid by you to XIMPEX in the 12 months preceding the claim.

9.3 — XIMPEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

9.4 — We are not liable for decisions made by the client based on our research, reports, or recommendations. All business decisions remain the client's responsibility.

10. Disclaimer

10.1 — Our services are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of trade data, market analysis, or lead information.

10.2 — While we strive for accuracy, trade data sourced from UN Comtrade, DGCIS, and other databases may contain discrepancies, time lags, or classification differences.

10.3 — XIMPEX does not guarantee that leads generated will convert into orders, that markets identified will remain favourable, or that regulatory conditions will remain stable.

10.4 — Our AI-powered tools (HS Code Finder, Market Finder, Duty Calculator, Export Readiness Assessment) provide indicative results and should not be treated as official customs classifications or legal advice. Users should verify results with appropriate authorities.

11. Indemnification

You agree to indemnify, defend, and hold harmless XIMPEX, its owners, employees, contractors, and partners from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 — By You: You may cancel your subscription at any time by providing written notice as specified in our Refund & Cancellation Policy. Monthly plans require 15 days' notice; annual plans require 30 days' notice.

12.2 — By XIMPEX: We may suspend or terminate your access to our services if you breach these Terms, fail to make payments, engage in fraudulent activity, or for any reason with 30 days' written notice.

12.3 — Upon termination, your right to use our services ceases. Deliverables already provided to you (websites, reports, collateral) remain yours. Access to our tools and platform will be revoked.

12.4 — Sections 8 (IP), 9 (Liability), 10 (Disclaimer), 11 (Indemnification), and 13 (Disputes) survive termination.

13. Dispute Resolution

13.1 — In the event of any dispute arising from these Terms or your use of our services, both parties agree to first attempt to resolve the matter through good-faith negotiation and mediation.

13.2 — If mediation fails to resolve the dispute within 30 days, either party may pursue legal remedies.

13.3 — Any legal proceedings shall be filed exclusively in the courts of Faridabad, Haryana, India.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Faridabad, Haryana, India.

15. Force Majeure

XIMPEX shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, trade sanctions, internet disruptions, acts of war or terrorism, labour disputes, or third-party service failures.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Cancellation Policy, and Shipping & Delivery Policy, constitute the entire agreement between you and XIMPEX regarding your use of our services and supersede all prior agreements, representations, and understandings.

18. Changes to Terms

18.1 — We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before they take effect.

18.2 — Changes will also be posted on this page with an updated “Last Updated” date.

18.3 — Your continued use of our services after the effective date of changes constitutes acceptance of the revised Terms.
